Terms of Service

These Terms of Service ("Terms") are an agreement between you and TheHoldCo by Mat Simmons LLC ("TheHoldCo," "we," "us," or "our"). They govern your use of joinholdco.com (the "Site"), TheHoldCo Mastermind, The HoldCo Boardroom application process, and related content and services (together, the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and able to enter a binding contract to use the Services. If you use the Services on behalf of a business, you confirm you have authority to bind that business to these Terms.
2. TheHoldCo Mastermind Membership
What's included. TheHoldCo Mastermind is a paid membership. Membership currently includes:
- Monthly live strategy calls
- Quarterly in-person events at various locations
- A library of frameworks and playbooks
- Accountability pods
- A private member community
- Eligibility to apply for The HoldCo Boardroom
We may update, add, or remove features over time to improve the program.
Price. The membership costs $499 per month.
30-day free trial. New members start with a 30-day free trial. A valid payment card is required at signup. Unless you cancel before the trial ends, your card will be automatically charged $499 on day 30, and then $499 every month after that until you cancel. By starting a trial, you authorize these recurring charges.
Cancellation. You may cancel anytime by emailing [email protected]. To avoid being charged, cancel before your 30-day trial ends. If you cancel after the trial converts to a paid membership, your cancellation takes effect at the end of your current billing month, and you will not be charged again.
Refunds. We do not provide refunds for partial months after your trial converts to a paid membership, unless required by law.
Failed payments. If a payment fails, we may suspend or end your access until payment is made.
Price changes. We may change membership pricing. We will notify you in advance of any price change, and you may cancel before the new price takes effect.
3. In-Person Events
Quarterly in-person events are held at various locations. Unless we state otherwise in writing, members are responsible for their own travel, lodging, and related costs. Event attendance may be subject to separate terms, waivers, or registration requirements. Dates, locations, and formats may change.
4. The HoldCo Boardroom
The HoldCo Boardroom is an apply-only partnership program for businesses with $1M or more in annual revenue. Acceptance is at TheHoldCo's sole discretion, and we are not required to explain our decisions. Submitting an application does not create a partnership, contract, or any obligation for either party. Any partnership will be governed only by a separate written agreement signed by both parties, and that agreement will control over these Terms for the partnership.
5. Educational Content; No Guarantees
All content and Services are provided for educational and informational purposes only. Nothing we provide is legal, tax, investment, accounting, or financial advice. Consult qualified professionals before making decisions for your business or finances.
We do not guarantee any income, revenue, growth, or other results. Any examples, figures, or stories are not a promise or typical outcome. Your results depend on your own effort, business, market, and many factors outside our control.
6. Recordings
Calls, sessions, and events may be recorded. By participating, you consent to being recorded and agree that we may use recordings to deliver and improve the Services, including sharing them with members.
7. Community Conduct
Our community runs on trust. When using the Services, you agree not to:
- Harass, threaten, demean, or discriminate against anyone
- Spam, solicit, or pitch members without permission
- Share other members' personal or confidential information, or what they share in calls, pods, or the community, outside the group
- Post anything illegal, misleading, infringing, or harmful
- Share your account or access with anyone else
- Interfere with or try to gain unauthorized access to the Services
We may remove content, suspend, or terminate your access, without a refund, if we believe you have violated these Terms or harmed the community.
8. Intellectual Property
All materials in the Services, including frameworks, playbooks, videos, recordings, templates, and branding, are owned by TheHoldCo or its licensors and are protected by intellectual property laws. While you are a member in good standing, we grant you a limited, personal, non-transferable, revocable license to use the materials for your own business. You may not copy, resell, redistribute, publish, or share the materials, or create competing programs from them, without our written permission.
9. SMS Communications
If you opt in to SMS messages from TheHoldCo, message frequency varies and message and data rates may apply. Reply STOP to opt out or HELP for help. Consent is not a condition of purchase. Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for more.
10. Third-Party Services
The Services rely on third parties, including HighLevel (LeadConnector) for the Site, forms, and scheduling, and Stripe for payments. Your use of those services may be subject to their own terms. We are not responsible for third-party services.
11. Termination
You may stop using the Services and cancel your membership at any time as described in Section 2. We may suspend or terminate your access at any time for violations of these Terms or for any lawful reason. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
12. Disclaimer of Warranties
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise the Services will be uninterrupted, error-free, or meet your expectations.
13. Limitation of Liability
To the fullest extent permitted by law, TheHoldCo and its owners, members, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from or related to the Services. Our total liability for any claim related to the Services is limited to the amount you paid us in the three (3) months before the claim arose.
14. Indemnification
You agree to defend, indemnify, and hold harmless TheHoldCo and its owners, members, employees, and partners from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or the rights of others.
15. Dispute Resolution and Governing Law
If you have a concern, please email [email protected] first. Most issues can be solved quickly that way, and we agree to try in good faith to resolve any dispute informally for at least 30 days before either side files a claim. If we cannot resolve it, the dispute will be handled in the courts of the state in which TheHoldCo by Mat Simmons LLC is organized. These Terms are governed by the laws of the state in which TheHoldCo by Mat Simmons LLC is organized, without regard to conflict-of-law rules.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date above, and we may notify members of material changes by email or on the Site. Continued use of the Services after an update means you accept the revised Terms.
17. General
These Terms, together with our Privacy Policy and any separate written agreement (such as a Boardroom partnership agreement or event terms), are the entire agreement between you and TheHoldCo about the Services. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent.
